This Event Organizer Agreement (the "Agreement") is a legally binding contract entered into by and between SavxGate (a proprietary product of Savx Ltd CMP, hereinafter referred to as "the Platform", "We", "Us", or "Our") and the individual or legal entity registering as an Event Organizer (hereinafter referred to as "Organizer", "You", or "Your").
1.1. “Event” refers to any scheduled activity (including but not limited to concerts, festivals, conferences, seminars, or social gatherings) created, listed, and managed by the Organizer on the SavxGate platform.
1.2. “Ticket” refers to a digital or physical instrument of admission, issued through the Platform’s infrastructure, providing the holder access to a specific Event.
1.3. “Platform” refers to the SavxGate website, mobile application, and all associated back-end services provided by Savx Ltd CMP.
2.1. The Platform grants the Organizer a non-exclusive, non-transferable right to use its digital infrastructure for the purposes of Event creation, Ticket allocation, data management, and financial transaction processing.
2.2. We act solely as a technology service provider and intermediary. We do not take possession of the Event venue, nor do we assume any operational responsibility for the execution of the Event itself.
You warrant and represent that You possess the full legal right, power, and authority to host the Event and to list it on the Platform. You must hold all requisite licenses, permits, and insurance policies required by local authorities.
All information provided regarding Event dates, venues, pricing, and amenities must be accurate, complete, and not misleading. Any material changes to the Event must be updated on the Platform immediately.
The Platform shall not be utilized for any illegal activity, including but not limited to money laundering, fraudulent listings, or the sale of tickets for non-existent events. Breach of this clause results in immediate criminal referral.
Should an issue arise from Your side (e.g., cancellation, venue change, or service failure), You are strictly liable to handle all refund requests. You agree to cooperate with the Platform to facilitate these refunds to Attendees.
4.1. Service Fees: SavxGate charges a non-refundable service fee per ticket transaction. These fees are automatically deducted from the gross ticket sales before payout.
4.2. Payout Policy: Net proceeds (Ticket Price minus Fees) will be disbursed to Your registered bank account within the Platform's standard processing window after the Event's successful completion.
4.3. KYC AND VERIFICATION: In compliance with anti-money laundering (AML) regulations, withdrawals will only be accessible and approved after the Organizer has completed a comprehensive Know Your Customer (KYC) verification process and received official approval from our compliance team.
5.1. Organizer Content: You retain all proprietary rights to your branding, images, and Event-specific descriptions. However, You grant Us a royalty-free license to use these materials for marketing and promotional purposes on Our platform and social media channels.
5.2. Platform Rights: All software, trademarks, and interfaces associated with SavxGate remain the exclusive property of Savx Ltd CMP.
6.1. Indemnity: You agree to indemnify, defend, and hold harmless SavxGate, its directors, and employees from any claims, damages, or legal costs arising from Your Event, Your breach of law, or any injury/loss suffered by Attendees at Your venue.
6.2. Liability Limitation: To the furthest extent permitted by law, We shall not be liable for indirect, incidental, or consequential losses, including lost profits or loss of data, arising from Platform downtime or technical errors.
7.1. We reserve the right to suspend or terminate Your account and delete Your Event listings with immediate effect, without notice or payment of outstanding proceeds, if We reasonably believe You have breached any clause of this Agreement or engaged in fraudulent conduct.
7.2. Upon termination, all rights granted to You under this Agreement shall cease immediately.
This Agreement and all related disputes shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute shall first be sought for resolution via mediation before escalating to the state courts.
Acceptance Clause: By completing the registration process and creating an Organizer profile, You solemnly affirm that You have read, understood, and voluntarily agree to be legally bound by all terms and conditions of this Agreement.
